These terms govern your use of Speaking Assist. By using the service, you agree to these terms.

1. Service Description

Speaking Assist provides real-time AI-powered translation for professional services across charity, medical, legal, and accounting sectors.

What we provide:

  • Real-time voice translation
  • Sector-specific terminology understanding
  • Secure room-based access
  • Optional transcription and session summaries (opt-in)
  • Multi-device support (desktop, tablet, mobile)
  • GDPR-compliant, privacy-first platform

2. Eligibility & Account Creation

To use Speaking Assist, you must:

  • Be 18 years of age or older, or have authorization from your organization
  • Provide accurate and complete account information
  • Keep your account credentials secure and confidential
  • Maintain one account per user (no duplicate accounts)
  • Notify us immediately of any unauthorized access to your account

3. Acceptable Use Policy

You agree to use Speaking Assist only for its intended purpose of professional translation. You must NOT:

  • Use the service for any illegal or unauthorized purposes
  • Attempt to reverse-engineer, decompile, or hack the service
  • Share room codes publicly or with unauthorized individuals
  • Circumvent access controls or security measures
  • Use the service to transmit malware, spam, or harmful content
  • Violate any applicable laws, regulations, or third-party rights
  • Impersonate others or provide false information

4. Subscription & Billing

Speaking Assist operates on an invite-only basis with pricing available on request.

  • Subscription plans: Monthly or annual subscriptions available
  • Auto-renewal: Subscriptions automatically renew unless cancelled
  • Cancellation: You may cancel at any time; access continues until the end of your billing period
  • Refunds: Prorated refunds available within 30 days for annual plans only
  • Price changes: We will provide 30 days notice of any price increases
  • Payment processing: Payments are processed securely via third-party providers

5. Data Collection & Privacy

Your use of Speaking Assist is also governed by our Privacy Policy. By using the service, you:

  • Acknowledge that we collect account, organization, and usage data as described in our Privacy Policy
  • Understand that conversations are NOT stored unless you opt in to transcription features
  • Consent to data processing by OpenAI for real-time translation (with 30-day retention or Zero Data Retention for enterprise accounts)
  • May request data deletion at any time by contacting us

6. OpenAI Usage Acknowledgment

Important: Your Data is Processed by OpenAI

  • Your spoken words are converted to text and sent to OpenAI for AI-powered translation
  • OpenAI retains data for 30 days by default for abuse monitoring (unless you request Zero Data Retention)
  • Your data is NOT used to train OpenAI models
  • Do not share highly confidential information without enabling Zero Data Retention for your organization

7. Professional Responsibility

CRITICAL: Translation Aid, Not Professional Replacement

Speaking Assist is a translation tool designed to assist communication. It does NOT replace your professional judgment, expertise, or responsibility.

Charity & Social Services: You remain fully responsible for safeguarding decisions, benefits advice, housing assessments, and client welfare.

Medical & Healthcare: You remain fully responsible for diagnosis, treatment decisions, patient care, and medical advice.

Legal Services: You remain fully responsible for legal advice, representation, and protection of attorney-client privilege.

Accounting & Finance: You remain fully responsible for financial advice, tax compliance, and accounting accuracy.

For critical situations: Always use certified professional interpreters for legal proceedings, formal medical diagnoses, or high-stakes financial decisions.

8. Service Disclaimer

Speaking Assist is provided "AS IS" without warranties of any kind, express or implied. We do NOT warrant:

  • Translation accuracy: AI translation may contain errors or misinterpretations
  • Uninterrupted service: The service may experience downtime or technical issues
  • Compatibility: The service may not work on all devices or browsers
  • Suitability: The service may not meet your specific requirements
  • Error-free operation: Software bugs or technical errors may occur

9. Limitation of Liability

To the fullest extent permitted by law:

  • We are NOT liable for translation errors, misunderstandings, or miscommunications
  • We are NOT liable for professional decisions made using the service
  • We are NOT liable for indirect, consequential, or punitive damages
  • Our maximum liability is limited to the amount you paid for the service in the last 12 months
  • You must verify critical information independently through multiple means
  • You use the service at your own risk

10. Indemnification

You agree to indemnify, defend, and hold harmless Trifura Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the service
  • Your violation of these terms
  • Your violation of any third-party rights
  • Professional decisions or advice you provide using the service
  • Any harm caused to clients, patients, or service users

11. Intellectual Property

All intellectual property rights in Speaking Assist, including software, algorithms, design, and documentation, belong to Trifura Ltd. You are granted a limited, non-transferable, non-exclusive license to use the service for authorized professional translation purposes only. You may NOT:

  • Copy, modify, or create derivative works from the service
  • Redistribute, sublicense, or sell access to the service
  • Remove or obscure any copyright, trademark, or proprietary notices
  • Use our trademarks without prior written permission

Any feedback, suggestions, or ideas you provide about the service become our property and may be used without compensation.

12. Termination & Suspension

We may terminate or suspend your access if:

  • You violate these terms or our Acceptable Use Policy
  • Payment fails or your account is past due
  • We suspect fraudulent, abusive, or illegal activity
  • Required by law or legal process
  • At our discretion with 30 days notice (unless immediate termination is required for security reasons)

You may terminate by:

Upon termination:

  • Your access to the service ends immediately
  • Opt-in data (transcriptions, summaries) will be deleted per our Privacy Policy
  • Billing records will be retained for 7 years as required by UK law
  • No refunds will be provided for partial billing periods (except as stated in Section 4)

13. Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue features or the entire service
  • Change pricing with 30 days notice
  • Update these terms (we will notify you of material changes)
  • Add or remove third-party integrations
  • Implement usage limits or restrictions

14. Dispute Resolution

Informal resolution: Before initiating any formal dispute resolution, you agree to contact us at info@speakingassist.com to attempt to resolve the matter informally.

Binding arbitration: Any disputes that cannot be resolved informally will be settled by binding arbitration in accordance with the laws of England and Wales.

Class action waiver: You agree to resolve disputes on an individual basis only, not as part of a class action.

Small claims exception: You may pursue claims in small claims court if they qualify.

15. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any legal proceedings arising from these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, terrorism, riots, labor disputes, internet outages, or third-party service failures.

18. Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and Speaking Assist regarding the service and supersede all prior agreements, representations, and understandings.
